Cyberonics Inc. (Nasdaq: CYBX), a Houston-based medical technology company, and Sorin SpA, a global medical device company based in Italy, will merge into a new $2.7 billion company.
As part of the complex deal, the two companies will combine under a new holding company, which has yet to be named, with Cyberonics surviving as a wholly owned subsidiary. The new company will be domiciled in the U.K. and will apply for dual-listing on the Nasdaq and London Stock Exchange.
